1. Agreement to Terms

By accessing or using the services provided by Dofii Inspirational Software Ltd ("Dofii," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

We reserve the right to modify these Terms at any time. Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms.

2. Description of Services

Dofii provides a comprehensive platform for universities, including but not limited to:

• Digital payment infrastructure and processing services
• Unified data management and analytics solutions
• Campus ecosystem integration services
• Software-as-a-Service (SaaS) products for educational institutions

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Eligibility and Account Registration

To use our services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to enter into these Terms on behalf of your organization
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any malicious code, viruses, or harmful components
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our services for any fraudulent or illegal purpose
• Reverse engineer, decompile, or disassemble any aspect of our services
• Remove or alter any proprietary notices or labels
• Use automated systems to access our services without permission

5. Payment Terms

Certain services may require payment of fees. By using paid services, you agree to:

• Pay all applicable fees as described in your service agreement
• Provide accurate billing and payment information
• Authorize us to charge your designated payment method
• Pay any applicable taxes

All fees are non-refundable unless otherwise stated in your service agreement. We reserve the right to change our fees with reasonable notice.

6. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and design, are owned by Dofii or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include any right to:

• Reproduce, distribute, or create derivative works
• Use our services for commercial purposes outside your service agreement
• Remove or modify any proprietary notices

7. Data Ownership and Usage

You retain all rights to the data you submit to our services ("Customer Data"). By using our services, you grant us a license to:

• Process Customer Data to provide and improve our services
• Generate aggregated, anonymized analytics and insights
• Use Customer Data in accordance with our Privacy Policy

You represent and warrant that you have all necessary rights to provide Customer Data to us and that such data does not violate any third-party rights or applicable laws.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of these Terms.

9. Warranties and Disclaimers

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding the accuracy or reliability of any information

We do not warrant that our services will meet your requirements or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, Dofii shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Loss of goodwill or reputation

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dofii, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any Customer Data you provide

12. Term and Termination

These Terms remain in effect until terminated by either party. You may terminate your account at any time by contacting us. We may suspend or terminate your access to our services:

• For violation of these Terms
• For non-payment of fees
• If required by law
• At our discretion with reasonable notice

Upon termination, your right to access and use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Dofii regarding the subject matter herein.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: Neither party shall be liable for failure to perform due to causes beyond their reasonable control.
